Welcome to Capsu. These Terms of Service (hereinafter referred to as the “Terms”) constitute a legally binding agreement between you (hereinafter referred to as “User” or “You”) and the operating entity of Capsu (hereinafter referred to as the “Company” or “We”) regarding your use of the Capsu product and related services.

Please read these Terms carefully and fully understand all provisions. By registering, logging in, or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.


1. Service Definition and Scope

1.1 Product Definition

Capsu is an AI-powered academic assistance platform developed and operated by the Company. Through technologies such as automatic speech recognition (ASR), multimodal analysis, and large language models, we provide digital learning support services including but not limited to real-time academic transcription, multimodal note generation, AI-powered key point prediction, and automatic filler word removal.

1.2 Service Channels

The Services include but are not limited to the official website, mobile applications, browser extensions, API interfaces of Capsu, and other software formats that may be introduced in the future.


2. Account Registration and Security Management

2.1 Registration Obligations

You agree to provide true, accurate, and complete personal information during registration. Any consequences arising from false or inaccurate information, including account disputes or service interruptions, shall be borne by you.

2.2 Account Ownership

The ownership of Capsu accounts belongs to the Company. Users are granted only a limited right to use the account. You may not transfer, lease, lend, sell, or otherwise make the account available for the direct or indirect benefit of any third party. The Company reserves the right to suspend or reclaim accounts without prior notice in such cases.

2.3 Security Responsibility

You are responsible for maintaining the confidentiality of your account credentials and are fully liable for all activities conducted under your account. If you suspect unauthorized use, please contact support@capsu.ai immediately.


3. Acceptable Use and Prohibited Conduct

3.1 Academic Integrity Commitment

You agree to comply with all applicable laws and the academic integrity policies of your educational institution when using the Services.

3.2 Disclaimer of Algorithmic Limitations

You understand and agree that transcription results and AI-generated content (such as key point predictions, quizzes, and summaries) are generated by algorithms and are for reference purposes only. The Company does not guarantee their absolute accuracy or completeness and makes no representations or warranties regarding academic performance or outcomes.

3.3 Prohibited Conduct

By using the Services, you agree not to engage in the following:

  • Academic Misconduct: Using the Services for cheating, ghostwriting, or any activities that violate academic fairness.
  • Technical Interference: Reverse engineering, decompiling, disassembling, or attempting to discover source code; interfering with or bypassing security features.
  • Unauthorized Data Collection: Using automated means (e.g., bots, crawlers) to collect data or obtaining other users’ personal information without consent.
  • Service Abuse: Uploading viruses or malicious code; using the Services for commercial transcription workflows or direct profit-making purposes.
  • Legal Violations: Disrupting service operations or infringing upon any third-party intellectual property or proprietary rights.

4. Intellectual Property and Proprietary Rights

4.1 User Content Ownership

All original materials uploaded to Capsu (such as course audio, PPTs, and PDFs) remain the property of you or the original rights holders. The Company provides only technical support for storage, analysis, and generation of derivative outputs.

4.2 System Ownership

All elements of Capsu, including visual interfaces, graphic design, algorithm models, computer code (source and object), product templates, and branding (collectively, “Materials”), are owned or licensed by the Company and protected by copyright and international intellectual property laws. Unauthorized use is strictly prohibited.

4.3 License for Derived Content

AI-generated outputs based on your materials (such as reports and key point predictions) belong to you. However, you grant the Company the right to process such content as necessary to improve your service experience, within the scope permitted by law.


5. Privacy Protection and Data Processing

5.1 Privacy Policy

We collect and process your information in accordance with our Privacy Policy, which forms an integral part of these Terms.

5.2 Compliance with Data Protection Laws

  • If your data falls under GDPR (EEA/UK), relevant Data Processing Addendum (DPA) terms shall apply automatically.
  • If your data falls under U.S. state privacy laws (such as CCPA), applicable provisions shall apply automatically.

5.3 Security Measures

We implement industry-standard security measures (such as SSL/TLS encryption) to protect your data. You are responsible for safeguarding your account credentials. The Company shall not be liable for losses caused by your failure to do so.


6. Subscription and Pricing

6.1 Pricing अधिकार

Capsu reserves the right to determine and adjust pricing. Updated pricing will be communicated via the website, app notifications, or other reasonable means.

6.2 Subscriptions and Promotions

We may offer promotions with varying features and pricing across regions or user groups. Unless explicitly stated, such promotions do not apply to existing purchases.

6.3 Refund Policy

Due to the nature of digital services, once audio transcription or document processing has begun based on your instructions, the service is considered consumed. Refunds are not available for used service quotas or active subscription periods.


7. Service Modification, Interruption, and Termination

7.1 Technical Limitations

Due to the evolving nature of AI and the complexity of internet infrastructure, we do not guarantee uninterrupted service. Temporary disruptions caused by maintenance, technical issues, or force majeure shall not be considered a breach of contract.

7.2 Termination Rights

If you violate these Terms, the Company reserves the right to terminate the agreement and reclaim your account. In cases where services cannot be provided due to force majeure, the Company may terminate the agreement and handle any unused benefits accordingly.


8. Governing Law and Dispute Resolution

8.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where the Company is registered.

8.2 Dispute Resolution

In the event of any dispute, both parties shall first attempt to resolve it through friendly consultation. If unresolved, either party may file a lawsuit with the competent court at the Company’s registered location.


9. Miscellaneous

9.1 Amendments

We reserve the right to modify these Terms at any time. Updated Terms will be published on the Capsu platform. Continued use of the Services after updates constitutes acceptance of the revised Terms.
